These Terms of Use shall be read in conjunction with all the other policies of Warmond Trustees & Executors Private Limited and all definitions used but not defined herein shall have such meanings as have been ascribed to them in the other policies.

The domain name www.ezeewill.com (hereinafter referred to as the "Website") is operated and maintained by NSDL e-Governance Infrastructure Ltd., a company incorporated under the Companies Act, 1956, with its registered office at 1st Floor, Times Tower, Kamala Mills Compound, Senapati Bapat Marg, Lower Parel, Mumbai - 400013 (hereinafter referred to as "NSDLe-Gov") for Warmond Trustees & Executors Private Limited, a company incorporated under the Companies Act, 1956 with its registered office at One Bazar Lane, Bengali Market, New Delhi – 110 001, (hereinafter referred to as "Warmond").

  3. For the purpose of these Terms of Use, wherever the context so requires "You" or "User" shall mean any individual who has agreed to avail services of EzeeWill on the Website by enquiring on the Website as a User using the computer systems. The term "We", "Us", "Our" shall mean Warmond.

  4. Your use of the Website and its services and tools are governed by the following Terms of Use as applicable to the Website including the applicable policies which are incorporated herein by way of reference. If you visit on the Website, You shall be subject to the policies that are applicable to the Website. By mere use of the Website, You shall be contracting on a principal to principal basis with Warmond for the services required by You.

When You use the services provided by Warmond through the Website, You will be subject to the policies, terms and conditions applicable to such service, and they shall be deemed to be incorporated under these Terms of Use. We reserve the right, at Our sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time without any prior written notice to You and such changes shall be binding on You. Your continued use of the Website following the posting of changes will mean that You accept and agree to the revisions. As long as You comply with these Terms of Use, We shall grant You a personal, non-exclusive, non-transferable, limited privilege to enter and use the Website.

The Terms of Use are published in compliance of, and are governed by the provisions of the applicable Indian laws, the rules, regulations, guidelines and clarifications framed thereunder, including but not limited to: (a) the Indian Contract Act, 1872; (b) the Information Technology Act, 2000; (c) the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Information) Rules, 2011; and (d) the Information Technology (Intermediaries Guidelines) Rules, 2011.

  7. Eligibility to avail Service

  8. Use of the Website is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents etc. are not eligible to use the Website. Use of the Website will not be available to persons previously suspended or removed from use of this Website. If You are a minor i.e. under the age of 18 years, You shall not enquire as a User of the Website and shall not visit or use the Website. As a minor if you wish to use or visit this Website, such use or visit may be made by your legal guardian or parents on your behalf on the Website. We reserve the right to refuse to provide You with access to the Website if it is brought to Our notice or if it is discovered by Us that You are under the age of 18 years.

  10. If you choose to become a User of this Website, you must provide your name, mobile number, e-mail address and City. This information is collected on the enquiry form for several reasons including but not limited to:

  16. Automatic Logging of Session Data

  17. We automatically log generic information about the User’s computer connection to the Internet, which We call "session data", that is anonymous and not linked to any Personal Information.   18. Platform for Services Offered and Communication

  19. All commercial/contractual terms and conditions are offered by and agreed to on a principal to principal basis between Warmond and You to avail use of the Website.

  20. NSDL e-Gov does not make any representation of the services proposed to be offered on the Website. NSDL e-Gov accepts no liability for any errors, omissions and/or deficiency whether on behalf of Warmond or third parties.

  21. NSDL e-Gov is not responsible for any non-performance or breach of any contract entered into between Warmond and You. NSDL e-Gov shall not and are not required to mediate or resolve any dispute or disagreement between Warmond and You.

  22. At no time shall NSDL e-Gov have any obligations or liabilities in respect of such contract entered into between Warmond and You. NSDL e-Gov is not responsible for unsatisfactory or delayed performance of services by Warmond.

  23. The Website is only a platform that can be utilized by You to avail services from Warmond and it is agreed that the contract for providing services shall be a strictly bipartite contract between the Warmond and You on a principal to principal basis.

  24. Use of the Website

  25. You agree, undertake and confirm that Your use of Website shall be strictly governed by the following binding principles:

    1. You shall not host, display, upload, modify, publish, transmit, update or share any information which:
      1. belongs to another person and to which You do not have any right to;
      2. is misleading in any way;
      3. violates any law for the time being in force;
      4. shall not be false, inaccurate or misleading;
    2. You shall not attempt to gain unauthorized access to any part of the Website, or any other systems or networks connected to the Website, or to any server, computer, network, or to any of the services offered on or through the Website, by hacking or any other illegitimate means.
    3. You shall at all times ensure full compliance with the applicable provisions of the Information Technology Act, 2000 and rules thereunder as applicable and as amended from time to time and also all applicable Indian laws, rules and regulations regarding Your use of this Website.
    4. NSDL e-Gov reserves the right, but has no obligation to, monitor the materials posted on the Website. NSDL e-Gov shall have the right to remove or edit any content that in its sole discretion violates, or is alleged to violate, any applicable law or either the spirit or letter of these Terms of Use. Notwithstanding this right, You remain solely responsible for the content of the materials You post on the website and in private messages. In no event shall NSDL e-Gov assume or have any responsibility or liability for any content posted or for any claims, damages or losses resulting from use of the content and/or appearance of the content on the Website. You hereby represent and warrant that You have all necessary rights in and to all the content which You provide and all information it contains and that such content shall not infringe any proprietary or other rights of third parties or contain any libelous, tortious, or otherwise unlawful information.

You may use information on the services purposely made available on the Website for downloading, provided that You (1) use such information only for your personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media; (2) make no modifications to such information; and (3) do not make any additional representations or warranties relating to such documents.

  28. Privacy

  29. We view protection of the User’s privacy as a very important principle. We understand clearly that You and your Personal Information is one of Our most important assets. We assure that We shall store and process the User’s information including any sensitive financial information collected (as defined under the Information Technology Act, 2000), if any, on computers that may be protected by physical as well as reasonable technological security measures and procedures in accordance with Information Technology Act 2000 and the Rules, regulations, guidelines, clarifications and amendments thereunder.

  30. Disclaimer of Warranties and Liability

This Website, all the materials and products (including but not limited to software) and services, included on or otherwise made available to You through this Website are provided on an "as is" and "as available" basis without any representation or warranties, express or implied, except otherwise specified in writing.

  32. Without prejudice to the forgoing paragraph, NSDL e-Gov does not warrant that:

    • This Website will be constantly available, or available at all; or
    • The information on this Website is complete, true, accurate or not-misleading.
  33. NSDL e-Gov will not be liable to You in any way or in relation to the contents of, or use of, or otherwise in connection with, the Website. NSDL e-Gov does not warrant that this Website, information, content, materials, product (including software) or services, included on or otherwise made available to You, through the Website, their servers or electronic communication sent from NSDL e-Gov are free of viruses or other harmful components.

  34. Payment

  35. You have specifically authorized Warmond or its other service providers to collect, process, facilitate and remit payments and / or the Transaction Price electronically to and from other Users in respect of transactions. Your relationship with Us is on a principal to principal basis and by accepting these Terms of Use you agree that NSDL e-Gov does not have control of or liability for the services that are listed on the Website that are being paid for directly to Warmond as per the terms provided by Warmond separately.

  36. Refund:

  37. Once You have agreed to avail the services of EzeeWill by paying the prescribed Transaction price to Warmond directly, You will be not entitled to a refund in respect of the transaction price for that service under any circumstances except where the payment made is in excess of the prescribed transaction price which may occur due to any technical glitches while processing the payment through Your Issuing bank. You further agree that Warmond and NSDL e-Gov do not assume any obligation to refund the Transaction Price once paid except in case of excess payment received by Us.

  38. Compliance with Laws:

  39. You shall comply with all the applicable relevant laws (including without limitation, the Foreign Exchange Management Act, 1999, the Rules and Regulations made and notifications issued there under, issued from time to time, the Information Technology Act, 2000 as amended by the Information Technology (Amendment) Act 2008, the Prevention of Money Laundering Act, 2002, the Rules and Regulations made there under and the Income Tax Act, 1961 the Rules and Regulations made there under) and any amendments made thereof, for using the Payment Facility of Our Website.

  40. Indemnity

  41. In no event shall NSDL e-Gov be liable to You (or to any third party claiming under or through You) for any indirect, special, incidental, consequential or exemplary damages arising from the use of, or inability to use, the Website. You agree to defend, indemnify and hold NDSL e-Gov, its affiliates and their respective officers, directors, agents, and employees from and against:

    1. any claims, actions, demands, liabilities, judgments, and settlements, including without limitation, reasonable legal fees resulting from your use of this Website;
    2. any loss, costs, damages, expenses, and liability caused by the use of this Website, violation of these Terms of Use or the Privacy Policy, or You violating any rights of a third party through use of this Website; and
    3. any indirect, special, incidental, remote, punitive, exemplary or consequential damages arising out of any of your act or omissions related to these Terms of Use, Privacy Policy and other Policies.

    Applicable Law

  42. The Terms of Use shall be governed by and interpreted and construed in accordance with the laws of India. All disputes relating to the Terms & Conditions shall be settled in the Courts located in the city of Mumbai, India.

  43. Trademark, Copyright and Restriction

  44. This Website is controlled and operated by Us and the Services are also provided by Us. All material on this Website, including images, illustrations, audio clips, and video clips, are protected by copyrights, trademarks, and other intellectual property rights.   48. In no event shall NSDL e-Gov be liable for any special, incidental, indirect or consequential damages of any kind in connection with these Terms of Use, even if the User has been informed in advance of the possibility of such damages.

  49. Other

  50. From time to time, We or NSDL e-Gov may add or enhance services available on the Website. To the extent these services are provided, and used by You, We or NSDL e-Gov will use the information You provide to facilitate the service requested. For example, if You email NSDL e-Gov with a question, We will use your email address, name, nature of the question, etc. to respond to your question. We or NSDL e-Gov may also store such information to assist it in making the Website better and easier for You to use.
